1. Acceptance of Terms

1.1 These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Appy Pie LLP, a limited liability partnership registered under the laws of India, operating as Pixazo (“Pixazo,” “we,” “us,” or “our”), governing your access to and use of the Pixazo platform located at pixazo.ai, including all associated services, applications, APIs, and features (collectively, the “Service”).

1.2 Appy Pie LLP is an Indian entity incorporated exclusively in India, with no interference from any other entity registered in any part of the world. Its principal operations are based in the Noida Special Economic Zone (NSEZ), Uttar Pradesh, India. As an SEZ unit, Appy Pie LLP operates under the purview of the Central Government of India and is required to comply with the Special Economic Zones Act, 2005 (“SEZ Act”) and related regulations, which mandate strict adherence to jurisdictional, data security, and disclosure protocols.

1.3 By accessing, browsing, or using the Service, creating an account, or clicking “I Agree” or any similar affirmative action, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (pixazo.ai/privacy), and, where applicable, our Data Processing Addendum (pixazo.ai/dpa). You further acknowledge and agree that these Terms are governed exclusively by the laws of India and that you submit to the exclusive jurisdiction of the competent courts in New Delhi, India.

1.4 If you are accessing the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and “you” shall refer to such organisation.

1.5 IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

2. Eligibility

2.1 You must be at least 16 years of age (or the applicable age of digital consent in your jurisdiction, whichever is higher) to use the Service.

2.2 If you are between the ages of 16 and 18, you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

2.3 The Service is not directed at children under 16. Pixazo does not knowingly collect personal data from children under 16, in compliance with Section 9 of the Digital Personal Data Protection Act, 2023 (“DPDPA”) and, where applicable, GDPR Article 8.

3. Account Registration and Security

3.1 To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Pixazo immediately at [email protected] of any unauthorised use.

3.3 Pixazo reserves the right to suspend or terminate any account that we reasonably believe has been accessed or used in an unauthorised manner, or that violates these Terms.

3.4 You may not create multiple free accounts to circumvent usage limits. Pixazo reserves the right to merge or terminate duplicate accounts without notice.

4. Description of Service

4.1 Pixazo is an AI-powered creative design platform that enables Users to generate, edit, and manage visual content including images, videos, audio, and other creative assets using artificial intelligence models and design tools.

4.2 The Service integrates third-party AI models including, but not limited to, Flux, DALL-E, Stable Diffusion, Ideogram, and others. Availability of specific models may change at any time without prior notice.

4.3 The Service is provided on a subscription basis with multiple plan tiers, including free and paid plans.

4.4 Pixazo is an “intermediary” within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 (“IT Act”). The provisions of this agreement shall be interpreted consistently with Pixazo’s status as an intermediary under Indian law and its entitlement to safe harbour protection under Section 79 of the IT Act.

5. Intellectual Property Rights

5.1 Platform IP

5.1.1 All intellectual property rights in and to the Pixazo platform, including but not limited to the software, algorithms, machine learning models, neural networks, user interfaces, APIs, documentation, databases, trade secrets, trademarks, service marks, trade dress, logos, domain names, and all improvements, modifications, enhancements, and derivative works thereof (collectively, “Platform IP”), are and shall remain the sole and exclusive property of Appy Pie LLP and its licensors, protected under the Indian Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, the Information Technology Act, 2000, the Designs Act, 2000, and applicable international treaties including the Berne Convention, TRIPS Agreement, and WIPO Copyright Treaty.

5.1.2 Nothing in these Terms grants any User any right, title, or interest in the Platform IP except for the limited licence to access and use the Service as expressly set forth herein.

5.2 Trademarks

5.2.1 The Pixazo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Appy Pie LLP (“Pixazo Marks”), protected under the Trade Marks Act, 1999.

5.2.2 Users shall not: (a) register or attempt to register any trademark, domain name, or social media handle that is identical or confusingly similar to any Pixazo Mark; (b) use Pixazo Marks in any manner suggesting endorsement, sponsorship, or affiliation without express written consent; (c) use Pixazo Marks in meta tags, paid search advertising, or any digital marketing mechanism without authorisation; (d) disparage Pixazo Marks or use them in a manner that could tarnish, dilute, or harm their reputation. Violation of this section shall constitute infringement under the Trade Marks Act, 1999 and may result in civil and criminal proceedings in Indian courts.

5.3 AI-Generated Content Ownership

5.3.1 Free Plan

Content generated through the free plan (“Free Content”) is owned by Appy Pie LLP. Free plan Users receive a limited, non-exclusive, revocable, non-transferable, non-sublicensable licence to use Free Content for personal and limited commercial purposes, subject to Pixazo attribution requirements. Pixazo may display, reproduce, and distribute Free Content on the platform and in marketing materials.

5.3.2 Paid Plans

Subject to payment of all applicable fees and full compliance with these Terms, Users on paid subscription plans (“Paid Users”) receive Full Ownership of AI-generated content created during their active subscription period (“Paid Content”), including the right to use, reproduce, distribute, sublicense, modify, create derivative works from, publicly display, publicly perform, and sell such content.

5.3.3 Ownership Limitations

Regardless of plan tier, User ownership is subject to:

  • Pixazo retains all rights in underlying models, algorithms, prompts, and techniques;
  • Ownership does not extend to training data, model weights, or embedded third-party IP;
  • Multiple Users may receive substantially similar outputs; no guarantee of uniqueness or exclusivity;
  • Users are solely responsible for IP clearance before commercial use.

5.3.4 Rights After Cancellation

Paid Users retain ownership for all Paid Content created during an active subscription, even after cancellation. Free Content remains owned by Pixazo regardless of subsequent upgrade.

5.3.5 Cascading Visibility

If a Paid User publishes Paid Content to the public gallery, previously hidden Free Content may become publicly visible with Pixazo attribution. A confirmation prompt will be displayed before any such publication.

5.4 Licence Grant to Pixazo

5.4.1 By using the Service, you grant Pixazo a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to: (a) display Free Content on the platform and in marketing materials; (b) use anonymised, aggregated, and de-identified metadata for platform improvement, benchmarking, and analytics; (c) use technical usage data for service improvement and research.

5.4.2 This licence does not grant Pixazo the right to use individual Paid Content for model training without explicit opt-in consent.

5.5 User-Uploaded Content

5.5.1 Users retain ownership of uploaded content. By uploading, Users grant Pixazo a licence to process, store, and use it solely for providing and improving the Service.

5.5.2 Users represent and warrant they have all necessary rights and that uploaded content does not infringe third-party rights.

5.6 Model-Specific Terms

5.6.1 Third-party AI models are governed by their own licences. Users bear sole responsibility for compliance. Key restrictions are summarised at pixazo.ai/model-terms.

5.6.2 Where these Terms conflict with a model’s licence, the more restrictive provision applies.

5.6.3 Pixazo will use commercially reasonable efforts to notify Users of material model licence changes affecting commercial use.

5.7 Reverse Engineering Prohibition

5.7.1 Users shall not: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) use the Service to create competing products; (c) systematically extract data or model behaviour for training competing AI models; (d) use bots, scrapers, or crawlers except through official APIs. Violations constitute offences under Sections 43 and 66 of the IT Act and will be prosecuted accordingly.

6. Intermediary Safe Harbour and Intellectual Property Protection

6.1 Intermediary Status Under Indian Law

6.1.1 Pixazo operates as an intermediary within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 (“IT Act”). In accordance with Section 79 of the IT Act and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Rules, 2021”), Pixazo shall not be liable for any third-party information, data, or content made available or hosted by Pixazo, provided that Pixazo:

  • Does not initiate the transmission, select the receiver, or select or modify the information contained in the transmission;
  • Observes due diligence as required under the IT Act and IT Rules, 2021;
  • Upon receiving actual knowledge or being notified by the appropriate Government or its agency, acts expeditiously to remove or disable access to unlawful content.

6.1.2 This intermediary safe harbour constitutes Pixazo’s primary legal shield under Indian law. As an intermediary operating from an Indian SEZ, Pixazo’s obligations are defined exclusively by Indian law, and any attempt to impose obligations or liability frameworks from foreign jurisdictions must be channelled through the procedures set forth in Section 15 (Governing Law and Jurisdiction).

6.2 Grievance Redressal Mechanism (IT Rules, 2021)

6.2.1 In compliance with Rule 3(2) of the IT Rules, 2021, Pixazo has appointed the following:

6.2.2 The Grievance Officer shall acknowledge receipt of any complaint within 24 hours and resolve the complaint within 15 days from the date of receipt, in accordance with Rule 3(2)(a) of the IT Rules, 2021.

6.2.3 Any User or affected person may submit a grievance regarding content that violates their rights, including intellectual property rights, under this mechanism. For Users outside India, this mechanism is the primary and preferred channel for all content-related complaints.

6.3 Content Takedown Procedure

6.3.1 Pixazo respects the intellectual property rights of others. Any person whose rights are infringed by content on the Service may file a complaint with the Grievance Officer.

6.3.2 A valid takedown request must include:

  • Identification of the copyrighted work or intellectual property claimed to be infringed;
  • Identification of the infringing material with sufficient information to locate it;
  • Contact information of the complaining party;
  • A statement of good faith belief that use is not authorised;
  • A statement under penalty of perjury or statutory declaration that the information is accurate;
  • A physical or electronic signature of the rights holder or authorised representative.

6.3.3 Upon receiving a valid complaint, Pixazo shall act within 36 hours to remove or disable access to reported content, in accordance with Rule 3(2)(b) of the IT Rules, 2021.

6.3.4 Counter-Notification. If a User believes their content was removed in error, they may submit a counter-notification to the Grievance Officer including: (a) identification of the removed material; (b) a statement that it was removed by mistake or misidentification; (c) contact information and consent to the jurisdiction of courts in New Delhi, India; (d) a signature or statutory declaration.

6.4 DMCA Compliance (Supplementary, US Users Only)

6.4.1 For Users in the United States, Pixazo also observes the notice-and-takedown procedure under the Digital Millennium Copyright Act (17 U.S.C. §512) (“DMCA”) as a supplementary framework, without prejudice to Pixazo’s primary intermediary safe harbour under Section 79 of the IT Act. 6.5 Repeat Infringer Policy

6.5.1 Pixazo will terminate the accounts of Users who are repeat infringers. Three (3) valid takedown complaints within twelve (12) months results in permanent termination without refund.

7. Subscription Plans, Payment, and Billing

7.1 Plan Tiers

The Service is offered in multiple tiers, including free and paid subscriptions, as described on the pricing page.

7.2 Billing and Payment

7.2.1 Paid subscriptions are billed in advance on a monthly or annual basis. All fees are in US dollars unless otherwise specified.

7.2.2 By subscribing, you authorise Pixazo to charge your payment method on a recurring basis.

7.2.3 All prices are exclusive of applicable taxes (GST, VAT, sales tax), which will be added where required by law.

7.3 Failed Payments

7.3.1 If payment fails, Pixazo will attempt up to four (4) additional charges over a 14-day grace period, with email notification of each attempt.

7.3.2 If payment continues to fail, Pixazo may downgrade or suspend access with email notice before any change.

7.4 Free Trials

7.4.1 Free trials may require payment information at registration.

7.4.2 Unless cancelled before expiry, trials auto-convert to paid plans. A reminder email will be sent at least 48 hours before expiration.

7.5 Refund Policy

7.5.1 Subscriptions are generally non-refundable. Requests within seven (7) days may be considered, subject to deduction of actual payment processing fees.

7.5.2 Credits are non-refundable and non-transferable.

7.6 Payment Disputes

7.6.1 Contact [email protected] before initiating a chargeback. We will resolve disputes in good faith.

7.6.2 Erroneous chargebacks may result in assessment of actual processor costs and account suspension until resolved.

7.6.3 Nothing herein limits your rights under applicable consumer protection or payment services laws.

7.7 Price Changes

Price increases for existing subscribers take effect at the next renewal with at least 30 days’ notice.

8. Acceptable Use Policy

8.1 In compliance with Rule 3(1)(b) of the IT Rules, 2021, and to maintain Pixazo’s intermediary safe harbour under Section 79 of the IT Act, Users agree not to host, display, upload, modify, publish, transmit, store, update, or share any information or content that:

  • Belongs to another person and to which the User does not have any right;
  • Is defamatory, obscene, pornographic, paedophilic, invasive of privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or otherwise unlawful;
  • Is harmful to a child;
  • Infringes any patent, trademark, copyright, or other proprietary right;
  • Violates any law for the time being in force;
  • Deceives or misleads about the origin of a message, or communicates misinformation with intent to mislead or harass for financial gain or to cause injury;
  • Impersonates another person;
  • Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to any cognisable offence, or prevents investigation of any offence;
  • Contains software viruses or code designed to interrupt, destroy, or limit functionality of any computer resource;
  • Is identified as fake or misleading by a fact check unit designated under Rule 3(1)(b)(v) of the IT Rules, 2021.

8.2 Additionally, Users shall not use the Service to:

  • Create deepfakes or non-consensual synthetic media of real individuals without express consent;
  • Generate child sexual abuse material (CSAM) or content exploiting minors;
  • Create synthetic media intended to deceive, defraud, or manipulate elections or political processes;
  • Circumvent or bypass content safety filters, rate limits, or platform guardrails;
  • Scrape or collect data through automated means except via official APIs;
  • Resell or redistribute access without Pixazo’s written consent.

8.3 Pixazo reserves the right to remove content and suspend or terminate accounts that violate this policy, without prior notice and without liability.

8.4 Content moderation may result in good-faith removal of content later determined to be compliant; Pixazo shall not be liable for such actions.

9. AI-Specific Terms and Disclaimers

9.1 No Guarantee of Output Quality. AI models produce outputs based on statistical patterns and may generate content that is inaccurate, biased, offensive, misleading, or inappropriate. Users must exercise independent judgement before using, publishing, or distributing any Generated Content.

9.2 No Uniqueness Warranty. Multiple Users may receive substantially similar outputs. No guarantee that Generated Content is unique, original, novel, or non-infringing.

9.3 Third-Party AI Model Disclaimer. Pixazo acts as an intermediary and is not responsible for: (a) training data, biases, or limitations of third-party models; (b) changes to model availability or licence terms by providers; (c) any claim arising from a specific model used at the User’s direction.

9.4 Regulatory Compliance. Users are solely responsible for compliance with AI regulations in their jurisdiction, including the EU AI Act where applicable. Pixazo provides labeling tools to assist but does not guarantee downstream regulatory compliance.

9.5 User Responsibility. Users are solely responsible for: (a) evaluating suitability of Generated Content; (b) IP clearance before commercial use; (c) compliance with all applicable laws; (d) obtaining all necessary third-party permissions.

10. Privacy, Data Protection, and Data Sovereignty

10.1 Primary Framework: Indian DPDPA and Data Sovereignty

10.1.1 Pixazo processes personal data in compliance with the Digital Personal Data Protection Act, 2023 (“DPDPA”) and its implementing rules. Appy Pie LLP is a Data Fiduciary under the DPDPA.

10.1.2 As an SEZ unit operating under the purview of the Central Government of India, Appy Pie LLP is required to ensure that any disclosure or transfer of information complies with statutory data protection, sovereignty, and jurisdictional requirements under Indian law. Where Indian law provides a higher degree of protection or imposes stricter conditions than foreign law, the Indian provisions prevail.

10.1.3 Legal Bases for Processing: (a) consent for account creation, marketing, and optional features; (b) legitimate uses for service delivery, security, fraud prevention, and improvement; (c) compliance with Indian law for regulatory, tax, and law enforcement requirements.

10.1.4 Data Principal Rights under the DPDPA may be exercised by contacting [email protected]:

  • Right to access information about personal data being processed;
  • Right to correction and erasure of personal data;
  • Right to grievance redressal;
  • Right to nominate another person to exercise rights in case of death or incapacity.

10.1.5 We will respond to Data Principal rights requests within 30 days.

10.2 Cross-Border Data Requests and Sovereignty

10.2.1 Any formal request for user data, legal documents, or disclosures from any foreign government, regulatory authority, law enforcement agency, or private party must be made in accordance with applicable international legal procedures, including the Hague Convention on the Service Abroad of Judicial and Extrajudicial Documents in Civil or Commercial Matters (“Hague Convention”) as applicable to India.

10.2.2 Such requests must be routed through the Government of India’s designated Central Authority or through the competent Indian courts to ensure proper jurisdictional compliance and due process.

10.2.3 Under the DPDPA, the SEZ Act, 2005, and other applicable Indian laws, Pixazo is required to ensure that any cross-border disclosure or transfer of data complies with Indian statutory requirements for data protection, sovereignty, and jurisdiction. Pixazo will act strictly in accordance with Indian law and established international rules governing cross-border data sharing.

10.2.4 Nothing in this section limits Pixazo’s obligation to comply with lawful orders of Indian courts or Indian governmental authorities.

10.3 GDPR Compliance (EU/EEA/UK Users — Supplementary)

10.3.1 For Users in the EU/EEA/UK, Pixazo also complies with the GDPR and UK GDPR as supplementary frameworks, without prejudice to the primacy of Indian law. Pixazo acts as Data Controller for account data. Where Users upload third-party personal data, Pixazo acts as Data Processor under our Data Processing Addendum at pixazo.ai/dpa.

10.3.2 Legal Bases under GDPR: (a) Performance of Contract (Art. 6(1)(b)); (b) Legitimate Interest (Art. 6(1)(f)); (c) Consent (Art. 6(1)(a)); (d) Legal Obligation (Art. 6(1)(c)).

10.3.3 Data Subject Rights under GDPR Articles 15–21 may be exercised by contacting [email protected]. Response within 30 days.

10.3.4 International Transfers: Where personal data is transferred outside the EEA/UK, we rely on Standard Contractual Clauses (SCCs) or adequacy decisions.

10.3.5 Sub-Processors: pixazo.ai/sub-processors.

10.3.6 Data Breach Notification: Within 72 hours where feasible per GDPR Article 33.

10.4 CCPA/CPRA (California — Supplementary)

10.4.1 Pixazo does not sell or share personal information as defined under CCPA/CPRA.

10.4.2 California residents may exercise rights by contacting [email protected]. Response within 45 days.

10.5 Data Erasure

Upon account deletion: (a) live data deleted within 30 days; (b) backups purged within 90 days; (c) anonymised aggregate data may be retained. Data may be retained longer where required by Indian law.

10.6 User Obligations

Where Users upload or generate content containing third-party personal data, Users represent they have: (a) obtained all necessary consents; (b) provided required privacy notices; (c) will comply with all applicable data protection laws including DPDPA and, where applicable, GDPR.

10.7 Children’s Privacy

The Service is not for children under 16. We do not knowingly collect their data. If discovered, we will delete it per DPDPA Section 9 and GDPR Article 8 where applicable.

11. Disclaimer of Warranties

11.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND AVAILABILITY. THIS DISCLAIMER IS MADE TO THE MAXIMUM EXTENT PERMITTED UNDER THE INDIAN CONTRACT ACT, 1872 AND THE CONSUMER PROTECTION ACT, 2019.

11.2 PIXAZO DOES NOT WARRANT THAT: (a) THE SERVICE WILL MEET YOUR REQUIREMENTS; (b) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (c) GENERATED CONTENT WILL BE UNIQUE, ORIGINAL, OR NON-INFRINGING; (d) ERRORS WILL BE CORRECTED; (e) THE SERVICE WILL BE FREE OF HARMFUL COMPONENTS.

11.3 PIXAZO DISCLAIMS ALL LIABILITY FOR ACTS, OMISSIONS, OR CONDUCT OF THIRD-PARTY AI MODEL PROVIDERS, CLOUD PROVIDERS, PAYMENT PROCESSORS, AND OTHER THIRD-PARTY SERVICE PROVIDERS.

11.4 Nothing herein excludes liability that cannot be excluded under the Consumer Protection Act, 2019 (India), or, for EU/UK Users, the EU Consumer Rights Directive or UK Consumer Rights Act 2015.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED UNDER INDIAN LAW, IN NO EVENT SHALL PIXAZO, APPY PIE LLP, ITS PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITIES, REGARDLESS OF CAUSE OF ACTION OR THEORY OF LIABILITY.

12.2 Aggregate Liability Cap:

  • Paid Users: The greater of (i) fees paid in the preceding 12 months, or (ii) USD $100;
  • Free Users: USD $100.

12.3 These limitations apply to all causes of action in aggregate.

12.4 The fees charged (or free access) reflect this allocation of risk.

12.5 Nothing excludes liability for: (a) death or personal injury from negligence; (b) fraud; (c) liability that cannot be excluded under mandatory Indian law.

13. Indemnification

13.1 You agree to indemnify, defend, and hold harmless Appy Pie LLP, its affiliates, subsidiaries, partners, officers, directors, employees, agents, licensors, and service providers (“Pixazo Indemnified Parties”) from all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your access to or use of the Service;
  • Your violation of these Terms or any applicable law in any jurisdiction;
  • Any third-party IP, privacy, or publicity claims arising from your content;
  • Failure to comply with AI model licence terms;
  • Any regulatory investigation, fine, or penalty from your use of the Service;
  • Third-party claims from content generated at your direction;
  • Your breach of any representation or warranty;
  • Tax liability from your commercialisation of Generated Content;
  • Your integration with third-party platforms;
  • Your violation of data protection laws including DPDPA, GDPR, or CCPA.

13.2 Pixazo may assume exclusive defence and control of any indemnified matter. You shall cooperate fully and not settle any claim imposing obligations on Pixazo without our written consent.

13.3 This obligation survives termination.

14. Termination and Suspension

14.1 For Cause. Pixazo may immediately suspend or terminate access upon: (a) material breach; (b) illegal activity; (c) Acceptable Use violation; (d) non-payment after 14-day grace; (e) risk to other Users or Pixazo; (f) repeat IP infringement; (g) sanctions violation.

14.2 For Convenience. 30 days’ notice with pro-rata refund for unused prepaid fees.

14.3 Suspension. Immediate and without notice where necessary to prevent harm, comply with law, or investigate violations.

14.4 By User. Through account settings or [email protected].

14.5 Effects. Upon termination: (a) all licences cease; (b) you must stop using the Service; (c) 30-day content export window; (d) Pixazo may then delete data; (e) Paid Content ownership survives.

15. Governing Law, Jurisdiction, and Dispute Resolution

15.1 Governing Law

15.1.1 These Terms shall be governed by and construed exclusively in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023, the Special Economic Zones Act, 2005, and all rules and regulations made thereunder, without regard to any conflict of laws principles of any jurisdiction.

15.1.2 The pixazo.ai website and all content, services, and products made available through it are owned and operated exclusively by Appy Pie LLP, an Indian entity incorporated in India, with no interference from any other entity registered in any part of the world. As an SEZ unit, Appy Pie LLP operates under the purview of the Central Government of India.

15.2 Exclusive Jurisdiction

15.2.1 Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between the parties, including the validity, invalidity, breach, or termination thereof, shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection on the grounds of inconvenient forum, lack of jurisdiction, or any other basis.

15.2.2 No foreign court judgment shall be enforceable against Appy Pie LLP unless it has been recognised and enforced through the competent courts of India in accordance with the Code of Civil Procedure, 1908 and other applicable Indian law.

15.3 Foreign Legal Process and Cross-Border Requests

15.3.1 Any formal request for legal documents, disclosures, discovery, subpoenas, or other legal process from any entity outside India must be made in accordance with applicable international legal procedures, including the Hague Convention on the Service Abroad of Judicial and Extrajudicial Documents in Civil or Commercial Matters, as applicable to India.

15.3.2 Such requests must be routed through the Government of India’s designated Central Authority or through the competent Indian courts to ensure proper jurisdictional compliance and due process.

15.3.3 Pixazo will not respond to informal requests, direct emails, demand letters, cease-and-desist communications, or other correspondence from foreign parties that do not follow established international legal procedures as applicable to India. Compliance with such informal communications is not required under Indian law and shall not be deemed an admission, waiver, or acknowledgement of any kind.

15.3.4 Under the DPDPA, the SEZ Act, 2005, the IT Act, 2000, and other applicable Indian laws, any disclosure or transfer of information must comply with Indian statutory requirements for data protection, sovereignty, and jurisdiction. Where Indian law provides a higher degree of protection or imposes stricter conditions, Indian provisions prevail.

15.3.5 Nothing in this section limits Pixazo’s obligation to comply with lawful orders of Indian courts or Indian governmental authorities.

15.4 Mandatory Pre-Suit Mediation

Before initiating any legal proceeding, the disputing party shall send written notice describing the claim and proposed resolution. The parties shall attempt good-faith resolution for 30 days. If unresolved, proceedings may be initiated under Section 15.2.

15.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) ALL CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY; (b) CLASS, COLLECTIVE, AND REPRESENTATIVE ACTIONS ARE NOT PERMITTED; (c) DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS.

15.6 Consumer Protection Savings Clauses

15.6.1 For Indian consumers: Nothing restricts your rights under the Consumer Protection Act, 2019, including the right to file complaints before the appropriate Consumer Disputes Redressal Commission.

15.6.2 For EU/EEA consumers: Nothing deprives you of mandatory protections under your country of habitual residence, including the right to local courts under Regulation (EU) No 1215/2012, Art. 18. You may also use the EU ODR platform at https://ec.europa.eu/consumers/odr.

15.7 Prevailing Party

In any action to enforce these Terms, the prevailing party shall recover reasonable attorneys’ fees, costs, and expenses.

15.8 Injunctive Relief

Pixazo may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of IP rights, without bond.

16. Force Majeure

16.1 Neither party is liable for failure or delay due to Force Majeure Events beyond reasonable control, including: natural disasters; pandemics; war, terrorism, or civil unrest; government actions, sanctions, or regulatory changes; third-party cloud or AI model provider failures; cyberattacks; power or internet outages; and labour disputes.

16.2 The affected party shall provide prompt notice and use commercially reasonable efforts to mitigate and resume.

16.3 If a Force Majeure Event continues for 90+ days, either party may terminate without liability, with pro-rata refund for non-performance.

17. Export Controls and Sanctions

17.1 The Service may be subject to export control and sanctions laws of India, the US, the EU, and other jurisdictions.

17.2 You represent that: (a) you are not in a comprehensively sanctioned country; (b) you are not on any sanctions list; (c) you will not violate export control laws; (d) you will not permit sanctioned party access.

17.3 Pixazo may immediately terminate access for violations without notice or liability.

18. General Provisions

18.1 Changes to Terms. Material changes notified at least 14 days in advance via email and/or on-platform notice. Continued use after effective date constitutes acceptance.

18.2 Entire Agreement. These Terms, Privacy Policy, DPA (where applicable), and plan-specific terms constitute the entire agreement.

18.3 Severability. Invalid provisions modified to minimum extent; remaining provisions survive.

18.4 No Waiver. Failure to enforce any right is not a waiver. Waivers must be written.

18.5 Notices. To Pixazo: [email protected] or Appy Pie LLP, 165 NSEZ, Noida-201305, India. To Users: email on account. Deemed received 24 hours after sending.

18.6 Assignment. Pixazo may assign at any time, including upon merger, acquisition, or asset sale. Users may not assign without written consent.

18.7 Independent Contractors. No partnership, joint venture, employment, or agency is created.

18.8 Third-Party Beneficiaries. Pixazo Indemnified Parties are intended beneficiaries of Sections 12 and 13.

18.9 Survival. Sections 5, 6, 9, 10, 11, 12, 13, 15, 16, 17, and 18 survive termination.

18.10 Language. English version prevails over any translation.

18.11 Anti-Corruption. Users shall comply with applicable anti-corruption laws including the Prevention of Corruption Act, 1988 (India), the FCPA (US), and the Bribery Act 2010 (UK).

18.12 Honest Reviews. You will not be penalised for sharing genuine experiences about the Service.
